1. Acceptance of Terms

By accessing and using Issueable ("the Service"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree to these terms, you may not use this Service. Issueable LLC reserves the right to modify these terms at any time. Your continued use of the Service after any such modifications constitutes your acceptance of the updated terms.

2. Description of Service

Issueable is a document generation tool that assists users in creating invoices, estimates, quotes, receipts, and purchase orders. It is not an accounting platform, bookkeeping service, or tax-filing tool. Issueable does not process, collect, or settle payments between you and your clients or vendors.

Any totals, subtotals, or tax amounts displayed in a generated document reflect the inputs you provide. Issueable does not calculate sales tax rates, income tax, or other regulatory tax on your behalf. Users are solely responsible for verifying all amounts, descriptions, and client details before sending documents for any official purpose.

Issueable is designed to produce professional business documents. Users must ensure that documents generated are used in compliance with all applicable federal, state, provincial, and local laws and regulations.

3. User Responsibilities

As a user of Issueable, you are responsible for all information you enter into the Service. You agree to provide accurate, truthful, and complete information when using the tool. You represent and warrant that you have the authority to use the information you provide and that such use will not infringe upon or violate any third-party rights.

You agree to use Issueable only for lawful purposes and in a manner that does not violate any applicable laws or regulations. You are responsible for understanding and complying with all federal, state, and local laws that may apply to the documents you generate. The use of Issueable for creating fraudulent documents, misrepresenting employment status, or any other illegal purpose is strictly prohibited.

4. Pricing and Payment

Issueable charges a one-time fee of $0.99 per document generated, or a recurring subscription for unlimited documents. Payment is processed securely through Stripe, a third-party payment processor. By using Issueable, you authorize Issueable LLC to charge your selected payment method for the Service.

All payments are non-refundable once a PDF has been generated and made available for download. This is because generated documents are digital goods that are immediately delivered upon purchase. In the event of a technical error that prevents PDF generation, you may contact our support team to request a refund or re-generation at Issueable LLC's sole discretion. Pricing is subject to change with notice. Any price changes will not affect purchases already completed at the time the change is announced.

5. Intellectual Property

All content on Issueable, including but not limited to text, graphics, logos, images, and software, is the property of Issueable LLC or its content suppliers and is protected by international copyright laws. You may not reproduce, distribute, or transmit any content without Issueable LLC's prior written permission.

By using Issueable, you are granted a limited, non-exclusive, non-transferable license to use the Service for your personal or business use in accordance with these terms. You may not reverse engineer, modify, or create derivative works of the Service or any of its components.

The documents you generate using Issueable are for your use and may be distributed as needed in accordance with applicable law. However, you retain responsibility for the accuracy and lawful use of any documents you generate.

6. Disclaimer of Warranties

Issueable is provided on an "as is" basis without any warranties, express or implied. Issueable LLC makes no representations or warranties regarding the accuracy, reliability, completeness, or timeliness of the Service or any content generated by the Service.

To the fullest extent permitted by law, Issueable LLC disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Issueable does not guarantee that the Service will be uninterrupted, error-free, or free from harmful components.

Issueable renders documents using the information you supply. We do not calculate sales tax rates, verify transactions, or confirm the identity of the parties listed on a document. Users must independently verify all totals, tax, and client/vendor information before sending or acting on a generated PDF. If you require accurate accounting, bookkeeping, or tax services, consult a qualified professional.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Issueable LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of Issueable, including but not limited to loss of profits, data, or business opportunity, regardless of the cause of action (whether in contract, tort, strict liability, or otherwise) and whether or not Issueable LLC has been advised of the possibility of such damages.

In no event shall Issueable LLC's total liability for any claim arising out of or related to Issueable exceed the amount you paid to use the Service in the twelve months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability. To the extent such restrictions apply, the above limitations may not apply to you.

8. Prohibited Uses

You agree not to use Issueable for any unlawful, fraudulent, or deceptive purpose. Prohibited uses include, but are not limited to:

9. Termination

Issueable LLC reserves the right to refuse service, terminate access, or suspend your account at any time, in its sole discretion, for any reason or no reason, including without limitation if we believe you have violated these Terms of Service or used the Service for any unlawful or fraudulent purpose.

Upon termination, your right to use Issueable ceases immediately. Any provisions of these Terms that by their nature should survive termination, including but not limited to limitations of liability and disclaimer of warranties, shall survive.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Delaware, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Delaware for the resolution of any disputes arising out of or related to these terms or your use of Issueable.

11. Changes to Terms

Issueable LLC may update these Terms of Service from time to time. We will notify you of any material changes by updating the "Last updated" date at the top of this page. Your continued use of Issueable following the posting of revised terms means that you accept and agree to the changes. If you do not agree to the updated terms, you must stop using the Service.
